1. Application of These Terms

These Terms of Purchase & Sale ("Terms") apply to all purchases of products from COCO JOJO LLC ("COCOJOJO," "Company," "we," "us," or "our") by any customer ("you" or "your"). By placing an order through any channel, you agree to these Terms. For wholesale, B2B, private label, and custom manufacturing orders, the COCOJOJO Wholesale Terms also apply and control in the event of conflict.

2. Orders and Acceptance

Your order is an offer to purchase. All orders are subject to acceptance and product availability. COCOJOJO may accept, decline, limit, or cancel any order in its sole discretion, including orders that appear fraudulent, are placed by unauthorized resellers, contain pricing or product errors, or exceed quantity limits. A contract is formed only when COCOJOJO confirms or ships your order.

3. Pricing and Errors

Prices are subject to change without notice and are confirmed at the time of order acceptance. Despite reasonable efforts, products may occasionally be mispriced or inaccurately described. COCOJOJO reserves the right to correct errors and to cancel or refuse any order placed at an incorrect price, even after an order is confirmed. Prices exclude taxes, shipping, duties, and handling unless stated.

4. Payment

Payment is due at the time of purchase unless credit terms are separately agreed in writing. You represent that you are authorized to use the payment method provided. COCOJOJO uses third-party payment processors and does not store full payment card numbers. You authorize COCOJOJO and its processors to charge the applicable amount, including taxes and shipping.

5. Shipping, Title, and Risk of Loss

Shipping estimates are not guaranteed. Unless otherwise stated, title and risk of loss pass to you upon delivery to the carrier (FOB origin). COCOJOJO is not responsible for carrier delays, loss, or damage in transit. Claims for shortages or visible damage must be made within ten (10) business days of delivery.

6. Returns, Refunds, and Cancellations

Returns are accepted only in accordance with COCOJOJO's posted return policy. For health, safety, and hygiene reasons, certain cosmetic, personal care, opened, custom, and wholesale products are non-returnable except for verified manufacturing defects. Natural variation in color, scent, texture, and viscosity is normal and is not a defect. Custom, private label, and made-to-order products are non-cancellable and non-refundable once production begins.

7. Product Use and Safety

Products are for external cosmetic use only unless expressly labeled otherwise. You are responsible for reviewing ingredient lists, performing a patch test, and following all label instructions. COCOJOJO's product Disclaimer applies to all purchases and is incorporated by reference.

8. Warranties and Disclaimer

COCOJOJO warrants that products conform to their specifications at the time of delivery. EXCEPT AS EXPRESSLY STATED, ALL PRODUCTS ARE PROVIDED "AS IS" AND COCOJOJO DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE, TO THE FULLEST EXTENT PERMITTED BY LAW.

To the fullest extent permitted by law, you agree to indemnify and hold harmless COCOJOJO from claims arising from your misuse of products, resale of products, breach of these Terms, or violation of law.

11. Dispute Resolution and Governing Law

Any dispute arising from these Terms is subject to the dispute-resolution, mandatory arbitration, class-action waiver, jury-trial waiver, and governing-law provisions of the COCOJOJO Terms of Service, incorporated by reference. These Terms are governed by California law, with exclusive venue in Orange County, California for any matter not subject to arbitration.

12. General

These Terms, with documents incorporated by reference, are the entire agreement regarding purchases. Unenforceable provisions shall be modified or severed; the remainder continues. Sections on warranties, liability, indemnification, and dispute resolution survive. COCOJOJO may update these Terms at any time; the version in effect at the time of your order applies.
