International sales and export terms covering cross-border orders, import duties, customs, restricted destinations, and compliance obligations.

1. Purpose and Scope

This International Sales & Export Notice applies to all purchases, shipments, and transactions involving COCO JOJO LLC ("COCOJOJO," "Company," "we," "us," or "our") products that are sold to, shipped to, exported to, or used in any jurisdiction outside the United States. It supplements the COCOJOJO Terms of Purchase & Sale, Wholesale Terms, and Privacy Policy.

2. Products Formulated for the U.S. Market

PRODUCTS INTENDED FOR THE U.S. MARKET COCOJOJO products are formulated, manufactured, labeled, and intended for sale in the United States and may NOT comply with the laws, regulations, ingredient restrictions, labeling requirements, registration requirements, or standards of other jurisdictions, including without limitation the European Union, United Kingdom, Japan, Canada, Australia, China, the Gulf states, or other countries. Customers purchasing for export, international resale, or use outside the United States assume full and sole responsibility for determining and ensuring compliance with all applicable foreign laws before importing, marketing, or selling any product. COCOJOJO makes no representation or warranty regarding the legality, suitability, registration status, or acceptability of any product in any jurisdiction outside the United States.

3. Customer Responsibility for Import and Compliance

Customers are solely responsible for: import licensing and permits; customs clearance, duties, tariffs, VAT, and taxes; product registration and notification (e.g., EU CPNP, UK SCPN, ASEAN, China NMPA); ingredient and labeling compliance; language and claims requirements; restricted or prohibited ingredient screening; and any market-specific testing or documentation. Customers are the importer of record unless otherwise agreed in writing.

4. Export Controls and Sanctions

You represent and warrant that you will comply with all applicable U.S. export-control and economic-sanctions laws, including those administered by the U.S. Department of Commerce (Export Administration Regulations) and the U.S. Department of the Treasury Office of Foreign Assets Control (OFAC). You will not export, re-export, or divert products to any embargoed or sanctioned country, region, entity, or individual, or for any prohibited end use. You are not a party listed on any U.S. restricted-party or denied-persons list.

5. Customs Data and Disclosures

You acknowledge that, to fulfill international orders, personal and commercial information - including names, addresses, tax identification numbers, and commercial details - may be shared with customs authorities, freight carriers, freight forwarders, customs brokers, import/export compliance services, and governmental agencies as required by applicable laws and customs regulations.

6. Shipping, Title, and Risk of Loss

Unless otherwise agreed in writing, international shipments are made FOB origin or EXW (Incoterms 2020 as specified on the order), and title and risk of loss pass to the Customer upon delivery to the carrier or freight forwarder. COCOJOJO is not responsible for delays, seizures, destruction, or losses arising from customs, inspection, or foreign regulatory action.

7. No Liability for Foreign Regulatory Action

To the fullest extent permitted by law, COCOJOJO is not liable for any seizure, detention, destruction, recall, fine, penalty, or loss arising from a product's non-compliance with foreign law, customs action, or import restriction, all of which are the Customer's responsibility.

8. Indemnification

To the fullest extent permitted by law, the Customer agrees to indemnify and hold harmless COCOJOJO from any claims, penalties, fines, duties, taxes, costs, and expenses (including reasonable attorneys' fees) arising from the Customer's import, export, marketing, distribution, sale, or use of products outside the United States, or violation of any export-control, sanctions, customs, or foreign regulatory law.

9. Governing Law and Dispute Resolution

This Notice is governed by California law and U.S. federal law, and is subject to the dispute-resolution, arbitration, and class-action waiver provisions of the COCOJOJO Terms of Service, incorporated by reference. The United Nations Convention on Contracts for the International Sale of Goods (CISG) does not apply.
